Website and service terms

Terms & Conditions of Service

The general terms governing website use, corporate-service orders, client responsibilities, fees, third-party providers and liability.

Terms

Acceptance and application

These Terms & Conditions of Service apply to use of the website and to services requested from or through FNC by website form, email, telephone or another approved communication channel.

By using the website or placing an order, the client confirms that the client has read and accepted these Terms, the Legal page, the Privacy Policy, the Compliance Policy and any quotation or order confirmation applicable to the service.

Where a signed engagement letter, quotation or order confirmation conflicts with these general Terms, the more specific written document prevails for that service.

Terms

Service scope

The exact deliverables, jurisdiction, service fee, expected external charges, client responsibilities and estimated timing are defined in the applicable quotation or order confirmation.

Services may include company formation, shelf-company transfer coordination, registered-office support, company-secretarial administration, document certification, bookkeeping coordination, account-application preparation or other corporate support.

A service does not include legal, tax, investment, audit or regulated financial advice unless a separate written engagement expressly states otherwise and identifies the appropriately authorised provider.

Terms

Eligibility and onboarding

Every service is subject to identity, ownership, business-purpose, sanctions and risk review.

FNC may request documents and explanations before accepting an order, while work is in progress or before releasing documents or completing a transfer.

FNC is not required to accept or continue an order merely because an enquiry, document or payment has been received.

Terms

Client responsibilities

The client must provide accurate, complete, current and non-misleading information and must promptly notify FNC of material changes.

The client warrants that all instructions are lawful, that the client has authority to act for every relevant person or entity and that supplied documents may lawfully be used for the requested purpose.

The client remains responsible for obtaining independent legal, tax, accounting, regulatory and commercial advice appropriate to the client’s circumstances and countries of operation.

  1. 01

    Accurate information

This requirement applies where relevant to the service and risk assessment.

  2. 02

    Valid authority

This requirement applies where relevant to the service and risk assessment.

  3. 03

    Lawful business purpose

This requirement applies where relevant to the service and risk assessment.

  4. 04

    Timely responses

This requirement applies where relevant to the service and risk assessment.

  5. 05

    Independent professional advice

This requirement applies where relevant to the service and risk assessment.

Terms

Prices, payment and external charges

Published prices are indicative unless expressly stated as fixed. A quotation may separate FNC service fees from registry fees, registered-agent charges, taxes, duties, certification, translation, courier, bank, payment-provider and professional-adviser charges.

Payment is due in the currency, amount and time stated in the quotation or invoice. Work may be paused until cleared funds and required documents are received.

External charges may change without notice. Where an authority or provider changes a fee after quotation, the client must pay the resulting difference before completion.

The client is responsible for bank charges, payment-processing charges, exchange-rate differences and applicable taxes unless the written quotation states otherwise.

Terms

Delivery and estimated timing

Any delivery date or processing period is an estimate unless expressly guaranteed in a signed written agreement.

Timing may depend on the client, company registries, government bodies, registered agents, notaries, couriers, banks, payment institutions, verification providers and other independent parties.

FNC is not responsible for a delay caused by incomplete information, additional compliance checks, authority processing, provider review, system outage, courier disruption or another event outside reasonable control.

Terms

Third-party providers

Some services require work by independent registries, registered agents, professional advisers, couriers, banks, payment institutions, identity providers or technology providers.

A third party may impose separate terms, privacy notices, eligibility rules, charges, renewal fees and service restrictions.

FNC may coordinate or introduce a third-party service but does not control the third party’s decision, processing time, system availability or continued provision of service.

Terms

Banking and payment-account support

FNC does not open accounts and does not provide regulated banking, payment, investment or other financial services.

Any account-related service is limited to administrative preparation, document organisation, referral or application support.

The client must select the intended institution, review that institution’s terms, privacy notice, fees and eligibility rules and decide independently whether to proceed.

After selecting an institution, the client authorises transmission of the necessary corporate and personal information for pre-check or onboarding. A special power of attorney or written beneficial-owner instruction may be required.

An unsuccessful application does not by itself mean that FNC failed to provide the agreed preparation or referral service.

Terms

Cancellation and refunds

A cancellation request must be made in writing.

Unless mandatory consumer law provides otherwise, completed work, reserved company costs, government fees, registered-agent fees, verification charges, certification, translation, courier and other committed external costs are non-refundable.

Where work has started, any refund is calculated after deducting completed work, time reasonably spent and non-recoverable external costs.

A consumer’s statutory cancellation and refund rights are preserved where they apply. A consumer who asks for work to begin during a statutory cancellation period may be required to make an express request and may have to pay for work already performed.

Terms

Shelf companies and company transfers

A company described as ready-made or shelf does not have trading history, turnover, credit history, banking history, contracts, licences, employees or assets unless expressly confirmed in writing.

Availability remains subject to reservation, due diligence, payment and transfer requirements.

The client must not represent a company’s incorporation age as evidence of previous commercial activity, financial standing or creditworthiness.

Terms

Website and intellectual property

Website text, graphics, branding, layout, software and downloadable materials are protected by intellectual-property rights belonging to FNC or the relevant licensor.

The website may be used for lawful personal or internal business evaluation. Content must not be copied, sold, scraped, republished, reverse engineered or used to create a misleading competing service without written permission.

The client must not interfere with website security, introduce malicious code, impersonate another person or use automated access in a manner that disrupts the service.

Terms

Privacy and confidentiality

Personal information is handled according to the Privacy Policy published on the Legal page.

The client authorises use and disclosure of information reasonably required to assess, prepare and deliver the selected service and to meet legal or compliance obligations.

Confidential information may be disclosed to employees, contractors, advisers, providers or authorities where reasonably necessary, authorised or legally required.

No confidentiality obligation prevents a disclosure required by law, court order, regulatory request or applicable compliance reporting duty.

Terms

No professional or financial advice

Website information and general communications are provided for general corporate-service information only.

FNC does not guarantee that a particular structure is legally, commercially or tax suitable for the client.

The client must obtain advice from qualified advisers in every relevant jurisdiction before relying on a structure, entering a transaction or making a tax, regulatory or investment decision.

Terms

Warranties and liability

Services are provided with reasonable care and skill, subject to the agreed scope and applicable mandatory law.

FNC does not warrant that a registry, authority, bank, payment institution or other provider will approve an application or continue providing a service.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence or any liability that cannot lawfully be excluded.

Subject to the preceding sentence, liability to a business client arising from a specific service is limited to the service fees paid to FNC for that affected service during the twelve months preceding the event giving rise to the claim.

Subject to applicable mandatory law, FNC is not liable to a business client for indirect or consequential loss, loss of profit, loss of business, loss of opportunity, loss of anticipated savings or loss caused by an independent third party.

Nothing in these Terms affects statutory rights available to a consumer that cannot lawfully be excluded or restricted.

Terms

Indemnity for unlawful instructions

A business client must indemnify FNC against reasonable loss, liability, cost and third-party claim caused by the client’s unlawful instruction, material misrepresentation, lack of authority, infringement of another person’s rights or breach of these Terms.

The indemnity does not apply to the extent that the loss was caused by FNC’s own fraud, wilful misconduct or liability that cannot lawfully be excluded.

Terms

Suspension and termination

FNC may suspend or terminate a service where payment is overdue, required information is not provided, instructions become unlawful, a compliance concern arises, a provider refuses the matter or continued work would create unreasonable legal, regulatory, security or reputational risk.

The client may terminate by written notice, subject to payment for completed work and committed external costs.

Termination does not affect rights, payment obligations, confidentiality duties, compliance records or claims that arose before termination.

Terms

Force majeure

Neither party is liable for delay or failure caused by an event beyond reasonable control, including government action, registry outage, sanctions change, war, civil disorder, epidemic, natural disaster, utility failure, cyber incident, telecommunications failure, labour disruption or failure of an essential third-party provider.

The affected party must take reasonable steps to reduce the impact and resume performance when reasonably possible.

Terms

Complaints and notices

A complaint should be sent to info@fncoffshore.com with the client name, order reference, relevant facts and requested resolution.

Formal notices may be sent by email to the address most recently supplied by the receiving party unless a signed agreement requires another method.

The parties should first attempt to resolve a dispute through good-faith written discussion.

Terms

General provisions

FNC may update these Terms for future website use and future orders. A material change to an accepted order will not apply retrospectively unless agreed or required by law.

If a provision is invalid or unenforceable, the remaining provisions continue in effect and the affected provision is adjusted only to the minimum extent necessary.

A delay in enforcing a right is not a waiver of that right.

The client may not assign an order without written consent. FNC may assign or subcontract performance where this does not reduce mandatory client rights.

Except where mandatory law provides otherwise, a person who is not a party to the service agreement has no right to enforce it.

Terms

Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the laws of Scotland.

For a business client, the courts of Scotland have exclusive jurisdiction unless a signed service agreement expressly states otherwise.

A consumer retains any mandatory right to rely on the law or courts of the country in which the consumer habitually resides where applicable law provides that protection.
